Introduction

These Terms of Service ("Terms") govern your access to and use of Compliance Toolkit ("CTK"), a software platform operated by Zuri Tribe Ltd.

By creating an account, accessing the platform, or using CTK, you acknowledge that you have read, understood, and agree to these Terms.

If you do not agree to these Terms, you must not use the service.

About Compliance Toolkit

Compliance Toolkit (CTK) is a software platform operated by Zuri Tribe Ltd.

CTK helps organizations manage compliance activities, organize evidence, monitor requirement coverage, and demonstrate compliance readiness.

CTK provides tools to support compliance management. CTK does not provide legal advice, regulatory certification, or guarantees of compliance.

Compliance determinations within CTK are based on evidence recorded and approved within the platform. The platform is intended to provide an explainable and auditable compliance management environment.

Eligibility

You may use CTK only if:

You are at least 18 years old.
You have authority to act on behalf of your organization.
Your use complies with applicable laws and regulations.

You are responsible for ensuring that users within your organization comply with these Terms.

Your Account

You are responsible for:

Maintaining the confidentiality of your login credentials.
Ensuring information provided to CTK remains accurate.
All activities performed under your account.

You must notify us promptly if you believe your account has been accessed without authorization.

Customer Data

You retain ownership of all information, documents, evidence, policies, records, and other content you upload to CTK ("Customer Data").

By using CTK, you grant us the limited rights necessary to:

Store Customer Data.
Process Customer Data.
Display Customer Data within the platform.
Provide and improve the service.

We do not acquire ownership of your Customer Data.

Our handling of personal data is governed by our Privacy Policy.

Acceptable Use

You agree not to:

Use CTK for unlawful purposes.
Upload malicious code or harmful content.
Attempt to gain unauthorized access to the platform.
Interfere with platform security or availability.
Reverse engineer, copy, or exploit the platform except as permitted by law.

We may suspend or terminate accounts engaged in prohibited activities.

Compliance Responsibility

Your organization remains solely responsible for:

Compliance decisions.
Regulatory obligations.
Policy implementation.
Evidence accuracy.
Responses to regulators, auditors, customers, and third parties.

CTK assists organizations in managing compliance information but does not act as a regulator, auditor, law firm, or certification body.

Use of CTK does not guarantee compliance with any law, regulation, standard, framework, or contractual obligation.

Service Availability

We aim to provide a reliable and secure service.

However, CTK is provided on an "as available" basis.

We do not guarantee:

Uninterrupted availability.
Error-free operation.
Availability of specific features at all times.

We may perform maintenance, upgrades, or changes to improve the platform.

Subscription and Billing

If you subscribe to a paid plan:

Fees are payable in advance unless otherwise agreed.
Subscription fees are non-refundable except where required by law.
We may change pricing with reasonable advance notice.
Failure to pay may result in suspension or termination of service.

Any trial, promotional, or free-tier offerings may be modified or withdrawn at our discretion.

Intellectual Property

CTK, including its software, designs, branding, documentation, and platform functionality, remains the property of IFV Limited or its licensors.

These Terms do not grant ownership of CTK intellectual property.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the platform during your subscription period.

Confidentiality

Each party agrees to protect confidential information received from the other party and to use such information only for legitimate purposes related to the service.

This obligation does not apply to information that:

Is publicly available.
Was already lawfully known.
Is independently developed.
Must be disclosed by law.

Limitation of Liability

To the maximum extent permitted by law:

CTK is provided "as is" and "as available."
We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for indirect, incidental, consequential, special, or punitive damages.
Our total liability arising from the service will not exceed the fees paid by you to CTK during the twelve (12) months preceding the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

12. Termination

We may suspend or terminate access to CTK if:

These Terms are violated.
Required by law.
Necessary to protect the security, integrity, or operation of the platform.

You may stop using CTK at any time.

Upon termination:

Access to the platform may cease.
Customer Data retention and deletion will be handled according to our Privacy Policy and applicable legal obligations.

Changes to These Terms

We may update these Terms from time to time.

If material changes are made, we will provide reasonable notice through the platform, email, or website.

Continued use of CTK after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the Republic of Kenya.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
